Terms of Service

These Terms of Service (hereinafter referred to as "these Terms") stipulate the terms and conditions for the use of services provided by AzabuSystem Inc. (hereinafter referred to as "the Company") on this website (hereinafter referred to as "this Service"). All users (hereinafter referred to as "Users") shall use this Service in accordance with these Terms.

Article 1 (Application)

These Terms apply to all relationships between Users and the Company regarding the use of this Service. The Company may establish various regulations (hereinafter referred to as "Individual Regulations") regarding this Service in addition to these Terms. These Individual Regulations, regardless of their names, shall constitute part of these Terms. If the provisions of these Terms contradict the provisions of the Individual Regulations in the preceding article, the provisions of the Individual Regulations shall prevail unless otherwise specified in the Individual Regulations.

Article 2 (Definitions)

The definitions of terms used in these Terms are as follows:

1. Service Agreement refers to a service usage contract concluded between the Company and Users in accordance with these Terms.
2. Intellectual Property Rights refers to copyrights, patents, utility model rights, design rights, trademark rights, and other intellectual property rights (including the right to obtain registration for such rights or to apply for registration thereof).
3. Posted Data refers to content such as text, images, videos, and other data posted or otherwise transmitted by Users in connection with this Service.
4. User refers to all individuals who use this Service, including those who use inquiry forms and those who enter into individual contracts with the Company.
5. This Service refers to all services provided by the Company, including but not limited to web system development, website creation, maintenance and operation services, and all services provided through this website.

Article 3 (Establishment of Service Agreement)

A Service Agreement between Users and the Company shall be deemed established when the User's application for the use of this Service is approved by the Company in the manner prescribed by the Company. For inquiry forms, the Service Agreement shall be deemed established when the inquiry is submitted. For development contracts and other individual contracts, the Service Agreement shall be deemed established when a separate individual contract is concluded in accordance with these Terms.

Article 4 (Prohibited Acts)

Users shall not engage in any of the following acts when using this Service:

1. Acts that violate laws and regulations or are related to criminal acts
2. Acts of fraud or threats against the Company, other Users, or other third parties
3. Acts contrary to public order and morals
4. Acts that infringe upon the Intellectual Property Rights, portrait rights, privacy rights, honor, or other rights or interests of the Company, other Users, or other third parties
5. Acts of posting or transmitting through this Service content that the Company deems to include or fall under the following categories:
6. Acts of posting excessively violent or cruel content
7. Acts of posting content that includes computer viruses or other harmful computer programs
8. Acts that damage the credibility of the Company, other Users, or other third parties
9. Acts of excessively transmitting the same or similar inquiries or contacts repeatedly
10. Acts that provide benefits to antisocial forces
11. Other acts that the Company deems inappropriate

Article 5 (Ownership of Rights)

All Intellectual Property Rights related to this website and this Service belong to the Company or parties who have licensed such rights to the Company, and the permission to use this Service under these Terms does not imply permission to use the Intellectual Property Rights related to this website or this Service that belong to the Company or parties who have licensed such rights to the Company.

Article 6 (Confidentiality)

Both Users and the Company shall keep confidential any non-public information disclosed by the other party (hereinafter referred to as "Confidential Information") in connection with this Service, and shall not disclose or leak it to third parties without the prior written consent of the other party. However, this shall not apply to information that: (1) was already publicly known at the time of disclosure; (2) became publicly known after disclosure through no fault of the receiving party; (3) was already possessed by the receiving party at the time of disclosure; (4) was lawfully obtained from a third party; or (5) is required to be disclosed by laws and regulations or court orders.

Article 7 (Suspension or Interruption of Service Provision)

The Company may suspend or interrupt the provision of all or part of this Service without prior notice to Users in any of the following cases:

1. When performing maintenance, inspection, or updates of the computer system related to this Service
2. When it becomes difficult to provide this Service due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
3. When computers or communication lines stop due to accidents
4. Other cases where the Company deems it difficult to provide this Service

Article 8 (Disclaimer and Limitation of Liability)

The Company shall not be liable for any damages incurred by Users due to the suspension or interruption of the provision of this Service, except in cases of willful misconduct or gross negligence on the part of the Company. The Company makes no warranties, either express or implied, that this Service is free from defects (including safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security defects, errors, bugs, and infringement of rights). Even if the Company is liable for damages to Users, the Company's liability shall be limited to the amount of usage fees received from the User in the past six months, and the Company shall not be liable for any consequential damages, indirect damages, special damages, future damages, or lost profits.

Article 9 (Changes to Service Content)

The Company may change the content of this Service or discontinue the provision of this Service without notifying Users, and the Company shall not be liable for any damages incurred by Users as a result.

Article 10 (Changes to Terms of Service)

The Company may change these Terms at any time without notifying Users if the Company deems it necessary. When these Terms are changed, the content of the Service and the terms of use shall be governed by the changed Terms of Service. The Company will announce changes to these Terms on this website or through other methods deemed appropriate by the Company.

Article 11 (Handling of Personal Information)

The Company shall appropriately handle personal information obtained through the use of this Service in accordance with the Company's Privacy Policy.

Article 12 (Notification or Contact)

Notifications or communications between Users and the Company shall be conducted in the manner determined by the Company. The Company shall deem that communications have reached Users when they are sent to the contact information currently registered, unless Users notify the Company of changes to their contact information in the manner determined by the Company.

Article 13 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or pledge to third parties their position under the Service Agreement or their rights or obligations under these Terms without the prior written consent of the Company.

Article 14 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. In the event of any dispute arising in connection with this Service, the Tokyo District Court or the Tokyo Summary Court shall have exclusive jurisdiction as the court of first instance, depending on the amount in dispute.
